REGOLAMENTO CALL

AUGMENTED LIVING LAB

1. Premessa

Benvenuto nel portale di innovazione Augmented Living Lab (di seguito il “Sito”), di proprietà di PricewaterhouseCoopers Business Services Srl, con sede legale in Piazza Tre Torri 2, Milano - 20145, Italia (di seguito la “Società”).

Il presente documento contenente i termini e condizioni d’uso (di seguito i “Termini”) è da intendersi applicabile all’iniziativa di innovazione “Call Augmented Living Lab” (di seguito l’ “Iniziativa” o la “Call”) lanciata in collaborazione con Designtech S.R.L. Società Benefit (di seguito l’”Organizzatore”) dalla Società a suoi scopi e/o di suoi clienti e, pertanto, a ciascuna proposizione (di seguito “Contributo”), effettuata sul Sito, da parte di terze parti, siano essi professionisti (formalizzati o meno in un soggetto giuridico), aziende, partner industriali, start-up e scale-up, PMI innovative (di seguito “Utente”). I Termini sono soggetti alla giurisdizione dello Stato Italiano, indipendentemente dallo Stato di provenienza dell’Utente che propone qualsivoglia Contributo. La Società si riserva il diritto di modificare discrezionalmente i seguenti Termini in qualsiasi momento e l’Utente dovrà accettarli formalmente ogniqualvolta partecipi all’Iniziativa e ogniqualvolta i seguenti Termini subiscono una variazione.

1.1 Chi organizza

Designtech S.R.L. Società Benefit, con sede legale in Via Crisitina Belgioioso 171, Milano - 20157, P. IVA 12415810964, in persona del legale rappresentante Patrizia Vavassori è il soggetto promotore e organizzatore della Call.

1.2 Tema e Obiettivo

La Call ha l’obiettivo di selezionare soluzioni tecnologiche innovative al fine di ridisegnare il concetto del Living insieme a innovatori e startup, per sviluppare POC (Proof Of Concept)/Prototipi con il supporto di aziende leader di settore.

1.3 Quando

La Call avrà inizio il 3 marzo 2023 e terminerà il 30 aprile 2023.

1.4 Dove

La Call si svolgerà online sul portale di innovazione https://www.innovationopencall.it/CallAugmentedLivingLab (di seguito il “Sito”) di proprietà della Società.

1.5 A chi si rivolge

Designer & Studi di Architettura e Ingegneria del settore specializzati e/o interessati all’ambito di innovazione proposto.

Startup e scaleup ad alto contenuto tecnologico interessate ad accelerare l’innovazione nel settore del Living.

PMI innovative piccole o medie imprese con soluzioni innovative e tecnologie pronte a rispondere alle sfide della Call e condividere le proprie soluzioni.

Aziende e partner industriali di produzione di prefabbricati, materiali e tecnologie applicabili nei settori delle costruzioni, dell’arredo, dell’architettura, dell’ingegneria e dell’interior design.

Chiunque rientri  in una delle suddette categorie può registrarsi  alla Call entro i termini previsti.

1.6 Costo, registrazione e penale

Chiunque rientri nelle suddette categorie (vedi paragrafo 1.5) potrà registrarsi sul sito entro i termini previsti.

Non vi sono restrizioni in termini di numero di partecipanti.

La registrazione non ha costi.

I partecipanti una volta effettuata la registrazione possono decidere di ritirarsi fino al 31 maggio 2023.

1.7 Modalità di svolgimento della Call

La registrazione alla Call può essere fatta a titolo individuale o come gruppo.

Non è ammesso alcun intervento o interferenza da soggetti esterni.

Si tratta di una call non competitiva, per cui non sarà selezionato alcun vincitore, ma potranno essere selezionate più soluzioni tra quelle proposte da professionisti e studi professionali, startup e scaleup, PMI innovative, aziende e partner.

1.7.1 Condizioni di accesso al Sito da parte dell’Utente

Chiunque può accedere e navigare liberamente il Sito. L’Utente che però intenda partecipare all’Iniziativa e, pertanto, proporre qualsivoglia Contributo è tenuto a registrarsi sul Sito. I codici di accesso e password sono confidenziali, personali e non trasferibili. L’Utente è responsabile della gestione, della custodia e delle conseguenze del loro utilizzo. La Società non può in alcun modo essere ritenuta responsabile di eventuali usi fraudolenti dei medesimi dati di accesso.

1.7.2 Condizioni di utilizzo

L’Utente che intenda partecipare all’Iniziativa, proponendo qualsivoglia Contributo deve accettare le seguenti condizioni di utilizzo:

1.     se           l’Utente propone               un           Contributo           per         conto di                una        entità legale dichiara di essere un rappresentante legale e/o un soggetto autorizzato;

2.     l’Utente dichiara altresì di avere la maggiore età e/o la capacità legale secondo la legge del Paese di residenza;

3.     l'Utente non può, per nessuna ragione, intenzionalmente o non intenzionalmente, violare qualsivoglia legge, regolamento o norma locale, nazionale o internazionale all’atto della proposizione del Contributo;

4.     l'Utente che partecipa con il proprio Contributo, indipendentemente dalla sua natura, si impegna a non inserire contenuti inappropriati, tra cui, a titolo esemplificativo:

●      razzismo, bullismo o crudeltà verso uomini e animali;

●      politica e simboli politici, campagne o movimenti;

●      riferimenti religiosi inclusi simboli, edifici o persone;

●      sesso, nudità, droghe o fumo;

●      parolacce;

●      uccisioni, terrorismo, orrore o torture;

5.     l’Utente si impegna a leggere e a rispettare eventuali ulteriori regolamenti dell’Iniziativa per la quale sta proponendo il proprio Contributo, accessibili sulla pagina del Sito dedicata all’Iniziativa;

6.     l’Utente dichiara che le informazioni attinente al Contributo proposto, siano esse testuali e/o documentali, non violano alcun obbligo di riservatezza verso terzi e sono, pertanto, da intendersi informazioni pubbliche, non riservate;

7.     l’Utente non può trasmettere o facilitare la trasmissione di qualsiasi Contributo che violi qualsiasi brevetto, marchio commerciale, segreto commerciale o altri diritti di proprietà intellettuale di qualsiasi terza parte;

8.     all’atto di proposizione di qualsivoglia Contributo da parte dell’Utente non si instaura alcun obbligo contrattuale o rapporto di lavoro tra la Società e l’Utente.

9.     la Società non è obbligata a fornire riscontro all’Utente con riferimento al Contributo proposto. In caso di interesse da parte della Società, essa fornirà un feedback all’Utente, in assenza di vincoli temporali e sostanziali;

10.   la Società è legittimata a contattare l’Utente, utilizzando i riferimenti da lui dichiarati in fase di registrazione al Sito, ogni qualvolta intenda richiedere approfondimenti sul Contributo proposto. Tali interazioni e informazioni aggiuntive raccolte dalla Società sono da intendersi non riservate. Qualora la Società e l’Utente intendano discutere informazioni riservate, potranno decidere di sottoscrivere accordi di riservatezza specificatamente declinati in funzione delle esigenze delle parti coinvolte;

11.   la Società non è tenuta a restituire dati, informazioni, materiali e documentazione pubblicata dall’Utente, anche in caso di eliminazione del proprio profilo sul Sito;

12.   il Contributo proposto dall’Utente sarà accessibile alla Società, ad eventuali terze parti per le quali l’Iniziativa è stata istanziata su intermediazione della Società stessa, ed ad altri soggetti indicati nell’Informativa della Privacy, eventualmente accettata in fase di registrazione. Il Contributo è ad ogni modo da intendersi non visionabile da parte di altri Utenti che partecipano alla medesima Iniziativa;

13.   Il Contributo proposto sul Sito e le relative informazioni inserite dall’Utente, unitamente ad integrazioni / valutazioni della Società, potranno essere condivise a soggetti terzi anche a fini commerciali della Società.

1.8 Eliminazione dalla Call

I partecipanti saranno eliminati in caso di:

●      progetti fuori tema a discrezione della giuria;

●      false generalità;

●      progetti non rispettosi di diritto d’autore o diritti di proprietà intellettuale o industriale altrui.

A tale fine, ciascun partecipante:

•              dichiara espressamente che il progetto è stato creato per la Call, è originale e non viola in alcun modo, né in tutto né in parte, i diritti d’autore e di proprietà intellettuale o industriale di terzi, manlevando sin d’ora Designtech S.R.L. Società Benefit per ogni violazione dovesse sorgere dalla partecipazione alla Call;

•              nel caso di progetti di gruppo riconosce che il progetto non appartiene a un individuo ma al team che lo presenta, e che ogni partecipante è responsabile per eventuali violazioni di diritti di terzi attraverso il progetto

presentato e verso Designtech S.R.L. Società Benefit per eventuali azioni di rivalsa dei predetti terzi nei loro confronti causate dal progetto presentato.

Designtech S.R.L. Società Benefit si impegna a rendere l’ambiente inclusivo e sicuro per tutti i partecipanti e si riserva il diritto di allontanare chiunque, tra le persone coinvolte, si comporti in modo inadeguato.

1.9 Giuria e riconoscimenti

La giuria nominata dall’Organizzatore selezionerà a proprio insindacabile giudizio i contributi dei partecipanti eleggibili per collaborazioni con le aziende sponsor della call finalizzate ove possibile all’inserimento negli spazi di CoFactory del Designtech Hub.

1.10 Diritti materiali e di proprietà intellettuale sui contributi

Ogni partecipante è responsabile del contenuto del proprio progetto e garantisce di esserne proprietario e di vantare, a titolo originario, tutti i relativi diritti di utilizzazione.

In relazione al Contributo proposto, l’Utente accetta le seguenti condizioni:

1.     l’Utente deve dare esplicitazione di eventuali protezioni del Contributo proposto, sia esso totale o parziale;

2.     per la protezione del Contributo, l’Utente dovrà provvedere ed affidarsi autonomamente ad adeguate protezioni e tutele legali del Contributo mediante brevetti, marchi, copyright e registrazioni presso le autorità competenti;

3.     in assenza di diritti di proprietà intellettuale riconducibili a tutto o parte del Contributo, l’Utente comprende che le informazioni e documenti presenti all’interno del Contributo non sono soggette ad obblighi di riservatezza;

4.     eventuali ulteriori informazioni trasmesse dall’Utente alla Società potranno essere ad ogni modo protette mediante successivi accordi di riservatezza da sottoscrivere tra le parti;

5.     l’Utente è consapevole che l’acquisizione dei diritti di proprietà intellettuale, previa proposizione del Contributo, è essenziale per evitare sfruttamenti commerciali da parte di terzi, inclusa la Società stessa o l’Organizzatore.

Designtech S.R.L. Società Benefit e/o i soggetti terzi per i quali l’Iniziativa è stata istanziata si riservano il diritto di utilizzare tutto il materiale prodotto dai partecipanti della Call, anche materialmente sotto forma di prototipo, nei termini previsti dal presente regolamento e sempre nel rispetto del Codice Etico sottoscritto da tutti i partecipanti. 

1.11 Diritti promozionali

La Call, le sue modalità di svolgimento, le comunicazioni ufficiali, il presente regolamento e le informazioni relative al trattamento dei dati personali sono resi noti e pubblici e pubblicati dalla Società e dall’Organizzatore sul Sito internet, sul portale https://www.innovationopencall.it/CallAugmentedLivingLab e su canali social propri, dei partner e degli sponsor della call.

Designtech S.R.L. Società Benefit si riserva il diritto di utilizzare il materiale prodotto durante la call, corredato di informazioni sui partecipanti, per scopi promozionali ed i partecipanti accettano in modo specifico tale diritto di utilizzo.

1.12 Dati personali e diritti d’immagine

L’Utente riconosce di avere ricevuto l’informativa sull’utilizzo (trattamento) dei suoi dati personali da parte della Società al momento della registrazione al Sito e di avere fornito specifico consenso a detto trattamento. I dati personali raccolti ai fini della Call verranno trattati, in quanto necessari alla realizzazione e corretto svolgimento della stessa, nel pieno rispetto del Regolamento UE 679/2016 e della normativa vigente in materia di protezione dei dati personali. I dati saranno trattati mediante l’utilizzo di strumenti manuali, informatici e telematici dalla Società e da Designtech S.R.L. Società Benefit (Titolare del Trattamento). Il partecipante, ai sensi dell’art. 15 e seguenti del Reg. UE n.679/2016, potrà richiedere la modifica, l’integrazione e/o la cancellazione dei dati od opporsi al loro utilizzo scrivendo a info@thedesign.tech. Per maggiori informazioni sulla politica di protezione dei dati personali consultare https://www.iubenda.com/privacy-policy/72950403 . La Call sarà pubblicizzata e foto e video della stessa potranno essere girati e pubblicati sul sito della Call e sui suoi canali social ufficiali. 1.13 Esclusione di P.R. 26/10/01 n. 430

L’iniziativa in questione non rientra nella categoria “concorsi a premio” o “operazioni a premio” ai sensi del D.P.R. 26/10/01 n. 430 (Regolamento concorsi e operazioni a premio), art. 6 (Esclusioni): “Non si considerano concorsi a premio e operazioni a premio i concorsi indetti per la produzione di opere letterarie, artistiche e scientifiche nei quali il conferimento del premio all’autore dell’opera prescelta ha carattere di corrispettivo di prestazione d’opera o rappresenta il riconoscimento del merito personale o un titolo di incoraggiamento nell’interesse della collettività”.

1.14 Controversie

Qualsiasi controversia dovesse insorgere in ordine al presente regolamento e all’evento sarà deferita alla decisione di un Arbitro unico, nominato di comune accordo tra le parti, oppure, in caso di disaccordo, dal Presidente della Camera di Commercio Industria e Artigianato di Milano. L’Arbitrato avrà sede e svolgimento in Milano, e sarà irrituale. L’Arbitro formerà la propria determinazione secondo equità e nel rispetto del principio del contraddittorio entro il termine massimo di giorni 120 (centoventi). Le parti si impegnano a dare immediata e puntuale attuazione alla decisione dell’Arbitro che è riconosciuto sin d’ora quale espressione della loro volontà contrattuale.

TERMS & CONDITIONS OF THE CALL

AUGMENTED LIVING LAB

1. Premise

Welcome             to            the         innovation           portal    AUGMENTED LIVING LAB                 (hereinafter         the         "Site"),                 owned by PricewaterhouseCoopers Business Services, with registered office in Piazza Tre Torri 2, Milano - 20145, Italia (hereinafter the "Company").

This document containing the terms and conditions of use (hereinafter the "Terms") is applicable to the innovation initiative "Call Augmented Living Lab" (hereinafter the "Initiative" or the "Call") launched in collaboration with Designtech S.R.L. Società Benefit (hereinafter the "Organizer") by the Company for its own purposes and/or those of its customers and, therefore, to each proposal (hereinafter the "Contribution"), made on the Site, by third parties, whether freelancers and practices, companies, industrial partners, startups and scale-ups, innovative SMEs (hereinafter the "User"). The Terms are subject to the jurisdiction of the Italian State, regardless of the State of origin of the User who proposes any Contribution.

The Company reserves the right to change the following Terms at any time at its discretion and you must formally accept them whenever you participate in the Initiative and whenever the following Terms change.

1.1 Who organizes

Designtech S.R.L. Società Benefit, with registered office in Via Cristina Belgioioso 171, Milano - 20157, P. IVA 12415810964, in the person of its legal representative Patrizia Vavassori, is the promoter and organizer of the Call.

1.2 Theme and Objective

The Call aims to select innovative technologies with the goal to redesign the Living Lab concept, together with innovators and startups, and develop PoC (Proof of Concept) / Prototypes with the support of leading industry Partners.

1.3 When

The Call will open on the 3rd of March 2023 and it will close on the 31st of May 2023.

1.4 Where

The Call will take place online on the innovation portal https://www.innovationopencall.it/CallAugmentedLivingLab (hereinafter the "Site") owned by the Company.

1.5 Who it is addressed to

Designer & Architecture and Engineering Studies operating in the industry that are specialized and/or keen on the proposed area of innovation.

Startups and scaleup with high technological content interested in boosting innovation in the design and construction sector.

Innovative SMEs small or medium-sized enterprises with innovative solutions and technologies prepared to meet the challenges of the Call and share their solutions.

Companies and Industrial partners producing prefabs, materials and applicable technologies in the construction, furniture, architecture, engineering, real estate and interior design sectors.

Anyone belonging to one of the above categories can register for the Call within the established time frame.

1.6 Cost, registration and penalty

Anyone belonging to one of the above categories (see paragraph 1.5) can register on the site within the established time frame. There are no restrictions in terms of number of participants.

The registration is free of charge.

Participants once registered may withdraw until the 31sr of May 2023.

1.7 How to carry out the Call

Registration to the Call can be carried out individually or as a group.

No intervention or interference from external parties is tolerated.

This is a non-competitive call, therefore no winner will be selected, although several solutions may be selected among those proposed by professionals and practices, start-ups and scale-ups, innovative SMEs, companies and partners may be selected.

1.7.1 Conditions of access to the Site by the User

Anyone can freely access and browse the Site. The User who intends to participate in the Initiative and, therefore, propose any Contribution is required to register on the Site. Access codes and passwords are confidential, personal and non-transferable. The User is responsible for the management, custody and consequences of their use. The Company cannot in any circumstance be considered responsible for any fraudulent use of the same access data.

 

1.7.2 Conditions of use

The User who intends to participate in the Initiative by proposing any Contribution must accept the following conditions of use:

1.     if the User proposes a Contribution on behalf of a legal entity he declares to be a legal representative and / or an authorized person;

2.     the User also declares to be of legal age and / or legal capacity according to the law of the country of residence;

3.     the User may not, for any reason, intentionally or unintentionally violate any local, national or international law, regulation or standard when submitting the Contribution;

4.     the User who participates with his Contribution, regardless of its nature, undertakes not to incorporate inappropriate content, including, for example:

●      racism, bullying or cruelty towards men and animals;

●      politics and political symbols, campaigns or movements;

●      religious references including symbols, buildings or people;

●      sex, nudity, drugs or smoking;

●      swearing;

●      killings, terrorism, horror or tortures;

5.     the User undertakes to read and respect any further regulations of the Initiative for which he is proposing his contribution, accessible on the page of the Site dedicated to the Initiative;

6.     the User declares that the information pertaining to the proposed Contribution, whether textual and / or documentary, does not violate any obligation of confidentiality towards third parties and is therefore to be considered public information, not confidential;

7.     the User may not transmit or facilitate the transmission of any Contribution that violates any patent, trademark, trade secret or other intellectual property rights of any third party;

8.     at the time of proposing any Contribution by the User, no contractual obligation or working relationship is established between the Company and the User;

9.     the Company is not obliged to provide feedback to the User with reference to the proposed Contribution. In case of interest from the Company, it shall provide feedback to the User, in the absence of temporal and substantial constraints;

10.   the Company is entitled to contact the User, using the references he has declared when registering on the Site, whenever he intends to request further information on the proposed Contribution. These interactions and additional information collected by the Company are to be considered nonconfidential. If the Company and the User intend to discuss confidential information, they may decide to sign confidentiality agreements specifically declined according to the needs of the parties involved;

11.   the Company is not required to return any data, information, materials and documentation published by the User, even in the event of the deletion of the related profile on the Site;

12.   the Contribution proposed by the User will be accessible to the Company, to any third parties for which the Initiative has been instantiated on the intermediary of the Company itself, and to other subjects indicated in the Privacy Statement, possibly accepted during registration. The Contribution is in any case to be intended as not viewable by other Users participating in the same Initiative;

13.   the Contribution proposed on the Site and the related information entered by the User, together with additions / evaluations of the Company, may be shared with third parties also for commercial purposes of the Company.

1.8 Removal from the Call

Participants will be eliminated in case of:

•      off-topic projects at the discretion of the jury;

•      false generalities;

•      projects that do not respect the copyright or intellectual or industrial property rights of others.

To this end, each participant:

•      expressly declares that the project has been created for the Call, is original and does not violate in any way, either in whole or in part, the copyright and intellectual or industrial property rights of third parties, and hereby indemnifies Designtech S.R.L. Società Benefit for any infringement arising from participation to the Call;

•      in the case of group projects recognizes that the project does not belong to an individual but to the team presenting it, and that each participant is responsible for any violation of third party rights through the submitted project and towards Designtech S.R.L. Società Benefit for any actions of recourse of the aforementioned third parties against them caused by the submitted project.

Designtech S.R.L. Società Benefit is committed to making the environment inclusive and safe for all participants and reserves the right to remove anyone who, among those involved, behaves inappropriately.

1.9 Jury and Awards

The jury appointed by the Organizer will select at its sole discretion the participants' contributions to be eligible for collaborations with the sponsoring companies of the call aimed, where possible, for inclusion in the CoFactory spaces of the Designtech Hub.

 

1.10 Material and intellectual property rights on contributions

Each participant is responsible for the content of their project and guarantees that they are the owner of the project and that they have all the original rights to use it.

In relation to the proposed Contribution, the User accepts the following conditions:

1.     the User must give details of any protection of the proposed Contribution, whether total or partial;

2.     for the protection of the Contribution, the User must provide and rely independently on adequate protections and legal protections of the Contribution through patents, trademarks, copyright and registrations with the competent authorities;

3.     the Contribution proposed by the User, if not protected by intellectual property, could be developed independently by the Company and / or by third parties for which the Initiative has been instantiated, without infringing the User's rights;

4.     any additional information sent by the User to the Company may in any case be protected by subsequent confidentiality agreements to be signed between the parties;

5.     the User is aware that the acquisition of intellectual property rights, previous to proposing the Contribution, is essential to avoid commercial exploitation by third parties, including the Company itself or the Organizer.

Designtech S.R.L. Società Benefit and/or third parties for whom the Initiative has been instantiated reserve the right to use all the material produced by the participants of the Call, even materially in the form of a prototype, under the terms of these regulations and always in compliance with the Code of Ethics signed by all participants.

1.11 Promotional rights

The Call, the way it is carried out, the official communications, these terms and conditions and the information relating to the processing of personal data are made public and published by the Company and the Organizer on the Website, on the portal https://www.innovationopencall.it/CallAugmentedLivingLab  and on their own social channels, and those of partners and sponsors of the call.

Designtech S.R.L. Società Benefit reserves the right to use the material produced during the call, accompanied by information on participants, for promotional purposes and participants specifically accept this right of use.

1.12 Personal data and image rights

The User acknowledges to have received the information on the use (processing) of personal data by the Company at the time of registration to the Site and has given specific consent to such processing. The personal data collected for the purposes of the Call will be processed, as necessary for the implementation and proper conduct of the Call, in full compliance with the EU Regulation 679/2016 and the current legislation on the protection of personal data. The data will be processed through the use of manual and digital tools by the Company and Designtech S.R.L. Società Benefit (Data Controller). The participant, pursuant to art. 15 and following the EU Reg. n.679/2016, may request the modification, integration and/or cancellation of data or oppose their use by writing to info@thedesign.tech. The Call will be advertised and photos and videos of the Call may be taken and published on the Call website and on its official social channels.

1.13 Exclusion of D.P.R. 26/10/01 no. 430

The initiative in question does not fall into the category of "prize competitions" or "prize transactions" as per the Presidential Decree no. 430 of 26/10/01 (Regulations for competitions and prize transactions), art. 6 (Exclusions): "The competitions held for the production of literary, artistic and scientific works in which the awarding of a prize to the author of the chosen work has the nature of consideration for the performance of the work or represents

recognition of personal merit or a title of encouragement in the interest of the community are not considered prize competitions and prize transactions".

1.14 Disputes

 

Any dispute arising in relation to these regulations and the event shall be referred to the decision of a single Arbitrator, appointed by mutual agreement between the parties, or, in case of disagreement, by the President of the Chamber of Commerce of Milan. The Arbitration will be based and conducted in Milan. The Arbitrator shall make his determination according to fairness and in compliance with the principle of the adversarial procedure within a maximum period of 120 (one hundred and twenty) days. The parties undertake to immediately and punctually implement the Arbitrator's decision, which is recognized as an expression of their contractual will.

Società Benefit (di seguito l’”Organizzatore”) dalla Società a suoi scopi e/o di suoi clienti e, pertanto, a ciascuna proposizione (di seguito “Contributo”), effettuata sul Sito, da parte di terze parti, siano essi professionisti (formalizzati o meno in un soggetto giuridico), aziende, partner industriali, start-up e scale-up, PMI innovative (di seguito “Utente”). I Termini sono soggetti alla giurisdizione dello Stato Italiano, indipendentemente dallo Stato di provenienza dell’Utente che propone qualsivoglia Contributo. La Società si riserva il diritto di modificare discrezionalmente i seguenti Termini in qualsiasi momento e l’Utente dovrà accettarli formalmente ogniqualvolta partecipi all’Iniziativa e ogniqualvolta i seguenti Termini subiscono una variazione. 1.1 Chi organizza Designtech S.R.L. Società Benefit, con sede legale in Via Crisitina Belgioioso 171, Milano - 20157, P. IVA 12415810964, in persona del legale rappresentante Patrizia Vavassori è il soggetto promotore e organizzatore della Call. 1.2 Tema e Obiettivo La Call ha l’obiettivo di selezionare soluzioni tecnologiche innovative al fine di ridisegnare il concetto del Living insieme a innovatori e startup, per sviluppare POC (Proof Of Concept)/Prototipi con il supporto di aziende leader di settore.1.3 Quando La Call avrà inizio il 3 marzo 2023 e terminerà il 30 aprile 2023. 1.4 Dove La Call si svolgerà online sul portale di innovazione https://www.innovationopencall.it/CallAugmentedLivingLab (di seguito il “Sito”) di proprietà della Società. 1.5 A chi si rivolge Designer & Studi di Architettura e Ingegneria del settore specializzati e/o interessati all’ambito di innovazione proposto. Startup e scaleup ad alto contenuto tecnologico interessate ad accelerare l’innovazione nel settore del Living. PMI innovative piccole o medie imprese con soluzioni innovative e tecnologie pronte a rispondere alle sfide della Call e condividere le proprie soluzioni. Aziende e partner industriali di produzione di prefabbricati, materiali e tecnologie applicabili nei settori delle costruzioni, dell’arredo, dell’architettura, dell’ingegneria e dell’interior design. Chiunque rientri  in una delle suddette categorie può registrarsi  alla Call entro i termini previsti. 1.6 Costo, registrazione e penale Chiunque rientri nelle suddette categorie (vedi paragrafo 1.5) potrà registrarsi sul sito entro i termini previsti. Non vi sono restrizioni in termini di numero di partecipanti. La registrazione non ha costi. I partecipanti una volta effettuata la registrazione possono decidere di ritirarsi fino al 31 maggio 2023. 1.7 Modalità di svolgimento della Call La registrazione alla Call può essere fatta a titolo individuale o come gruppo. Non è ammesso alcun intervento o interferenza da soggetti esterni. Si tratta di una call non competitiva, per cui non sarà selezionato alcun vincitore, ma potranno essere selezionate più soluzioni tra quelle proposte da professionisti e studi professionali, startup e scaleup, PMI innovative, aziende e partner. 1.7.1 Condizioni di accesso al Sito da parte dell’Utente Chiunque può accedere e navigare liberamente il Sito. L’Utente che però intenda partecipare all’Iniziativa e, pertanto, proporre qualsivoglia Contributo è tenuto a registrarsi sul Sito. I codici di accesso e password sono confidenziali, personali e non trasferibili. L’Utente è responsabile della gestione, della custodia e delle conseguenze del loro utilizzo. La Società non può in alcun modo essere ritenuta responsabile di eventuali usi fraudolenti dei medesimi dati di accesso. 1.7.2 Condizioni di utilizzo L’Utente che intenda partecipare all’Iniziativa, proponendo qualsivoglia Contributo deve accettare le seguenti condizioni di utilizzo: 1.se l’Utente propone un Contributo per conto di una entità legale dichiara di essere un rappresentante legale e/o un soggetto autorizzato; 2.l’Utente dichiara altresì di avere la maggiore età e/o la capacità legale secondo la legge del Paese di residenza; 3.l'Utente non può, per nessuna ragione, intenzionalmente o non intenzionalmente, violare qualsivoglia legge, regolamento o norma locale, nazionale o internazionale all’atto della proposizione del Contributo; 4.l'Utente che partecipa con il proprio Contributo, indipendentemente dalla sua natura, si impegna a non inserire contenuti inappropriati, tra cui, a titolo esemplificativo: ●razzismo, bullismo o crudeltà verso uomini e animali; ●politica e simboli politici, campagne o movimenti; ●riferimenti religiosi inclusi simboli, edifici o persone; ●sesso, nudità, droghe o fumo;●parolacce;●uccisioni, terrorismo, orrore o torture;5.l’Utente si impegna a leggere e a rispettare eventuali ulteriori regolamenti dell’Iniziativa per la quale sta proponendo il proprio Contributo, accessibili sulla pagina del Sito dedicata all’Iniziativa;6.l’Utente dichiara che le informazioni attinente al Contributo proposto, siano esse testuali e/o documentali, non violano alcun obbligo di riservatezza verso terzi e sono, pertanto, da intendersi informazioni pubbliche, non riservate;7.l’Utente non può trasmettere o facilitare la trasmissione di qualsiasi Contributo che violi qualsiasi brevetto, marchio commerciale, segreto commerciale o altri diritti di proprietà intellettuale di qualsiasi terza parte;8.all’atto di proposizione di qualsivoglia Contributo da parte dell’Utente non si instaura alcun obbligo contrattuale o rapporto di lavoro tra la Società e l’Utente.9.la Società non è obbligata a fornire riscontro all’Utente con riferimento al Contributo proposto. In caso di interesse da parte della Società, essa fornirà un feedback all’Utente, in assenza di vincoli temporali e sostanziali;10.la Società è legittimata a contattare l’Utente, utilizzando i riferimenti da lui dichiarati in fase di registrazione al Sito, ogni qualvolta intenda richiedere approfondimenti sul Contributo proposto. Tali interazioni e informazioni aggiuntive raccolte dalla Società sono da intendersi non riservate. Qualora la Società e l’Utente intendano discutere informazioni riservate, potranno decidere di sottoscrivere accordi di riservatezza specificatamente declinati in funzione delle esigenze delle parti coinvolte;11.la Società non è tenuta a restituire dati, informazioni, materiali e documentazione pubblicata dall’Utente, anche in caso di eliminazione del proprio profilo sul Sito;12.il Contributo proposto dall’Utente sarà accessibile alla Società, ad eventuali terze parti per le quali l’Iniziativa è stata istanziata su intermediazione della Società stessa, ed ad altri soggetti indicati nell’Informativa della Privacy, eventualmente accettata in fase di registrazione. Il Contributo è ad ogni modo da intendersi non visionabile da parte di altri Utenti che partecipano alla medesima Iniziativa;13.Il Contributo proposto sul Sito e le relative informazioni inserite dall’Utente, unitamente ad integrazioni / valutazioni della Società, potranno essere condivise a soggetti terzi anche a fini commerciali della Società.1.8 Eliminazione dalla Call I partecipanti saranno eliminati in caso di: ●progetti fuori tema a discrezione della giuria;●false generalità;●progetti non rispettosi di diritto d’autore o diritti di proprietà intellettuale o industriale altrui.A tale fine, ciascun partecipante: •dichiara espressamente che il progetto è stato creato per la Call, è originale e non viola in alcun modo, né in tutto né in parte, i diritti d’autore e di proprietà intellettuale o industriale di terzi, manlevando sin d’ora Designtech S.R.L. Società Benefit per ogni violazione dovesse sorgere dalla partecipazione alla Call; •nel caso di progetti di gruppo riconosce che il progetto non appartiene a un individuo ma al team che lo presenta, e che ogni partecipante è responsabile per eventuali violazioni di diritti di terzi attraverso il progetto presentato e verso Designtech S.R.L. Società Benefit per eventuali azioni di rivalsa dei predetti terzi nei loro confronti causate dal progetto presentato. Designtech S.R.L. Società Benefit si impegna a rendere l’ambiente inclusivo e sicuro per tutti i partecipanti e si riserva il diritto di allontanare chiunque, tra le persone coinvolte, si comporti in modo inadeguato. 1.9 Giuria e riconoscimenti La giuria nominata dall’Organizzatore selezionerà a proprio insindacabile giudizio i contributi dei partecipanti eleggibili per collaborazioni con le aziende sponsor della call finalizzate ove possibile all’inserimento negli spazi di CoFactory del Designtech Hub. 1.10 Diritti materiali e di proprietà intellettuale sui contributi Ogni partecipante è responsabile del contenuto del proprio progetto e garantisce di esserne proprietario e di vantare, a titolo originario, tutti i relativi diritti di utilizzazione. In relazione al Contributo proposto, l’Utente accetta le seguenti condizioni: 1.l’Utente deve dare esplicitazione di eventuali protezioni del Contributo proposto, sia esso totale o parziale;2.per la protezione del Contributo, l’Utente dovrà provvedere ed affidarsi autonomamente ad adeguate protezioni e tutele legali del Contributo mediante brevetti, marchi, copyright e registrazioni presso le autorità competenti;3.in assenza di diritti di proprietà intellettuale riconducibili a tutto o parte del Contributo, l’Utente comprende che le informazioni e documenti presenti all’interno del Contributo non sono soggette ad obblighi di riservatezza;4.eventuali ulteriori informazioni trasmesse dall’Utente alla Società potranno essere ad ogni modo protette mediante successivi accordi di riservatezza da sottoscrivere tra le parti;5.l’Utente è consapevole che l’acquisizione dei diritti di proprietà intellettuale, previa proposizione del Contributo, è essenziale per evitare sfruttamenti commerciali da parte di terzi, inclusa la Società stessa o l’Organizzatore.Designtech S.R.L. Società Benefit e/o i soggetti terzi per i quali l’Iniziativa è stata istanziata si riservano il diritto di utilizzare tutto il materiale prodotto dai partecipanti della Call, anche materialmente sotto forma di prototipo, nei termini previsti dal presente regolamento e sempre nel rispetto del Codice Etico sottoscritto da tutti i partecipanti.  1.11 Diritti promozionali La Call, le sue modalità di svolgimento, le comunicazioni ufficiali, il presente regolamento e le informazioni relative al trattamento dei dati personali sono resi noti e pubblici e pubblicati dalla Società e dall’Organizzatore sul Sito internet, sul portale https://www.innovationopencall.it/CallAugmentedLivingLab e su canali social propri, dei partner e degli sponsor della call. Designtech S.R.L. Società Benefit si riserva il diritto di utilizzare il materiale prodotto durante la call, corredato di informazioni sui partecipanti, per scopi promozionali ed i partecipanti accettano in modo specifico tale diritto di utilizzo. 1.12 Dati personali e diritti d’immagine L’Utente riconosce di avere ricevuto l’informativa sull’utilizzo (trattamento) dei suoi dati personali da parte della Società al momento della registrazione al Sito e di avere fornito specifico consenso a detto trattamento. I dati personali raccolti ai fini della Call verranno trattati, in quanto necessari alla realizzazione e corretto svolgimento della stessa, nel pieno rispetto del Regolamento UE 679/2016 e della normativa vigente in materia di protezione dei dati personali. I dati saranno trattati mediante l’utilizzo di strumenti manuali, informatici e telematici dalla Società e da Designtech S.R.L. Società Benefit (Titolare del Trattamento). Il partecipante, ai sensi dell’art. 15 e seguenti del Reg. UE n.679/2016, potrà richiedere la modifica, l’integrazione e/o la cancellazione dei dati od opporsi al loro utilizzo scrivendo a info@thedesign.tech. Per maggiori informazioni sulla politica di protezione dei dati personali consultare https://www.iubenda.com/privacy-policy/72950403 . La Call sarà pubblicizzata e foto e video della stessa potranno essere girati e pubblicati sul sito della Call e sui suoi canali social ufficiali. 1.13 Esclusione di P.R. 26/10/01 n. 430 L’iniziativa in questione non rientra nella categoria “concorsi a premio” o “operazioni a premio” ai sensi del D.P.R. 26/10/01 n. 430 (Regolamento concorsi e operazioni a premio), art. 6 (Esclusioni): “Non si considerano concorsi a premio e operazioni a premio i concorsi indetti per la produzione di opere letterarie, artistiche e scientifiche nei quali il conferimento del premio all’autore dell’opera prescelta ha carattere di corrispettivo di prestazione d’opera o rappresenta il riconoscimento del merito personale o un titolo di incoraggiamento nell’interesse della collettività”. 1.14 Controversie Qualsiasi controversia dovesse insorgere in ordine al presente regolamento e all’evento sarà deferita alla decisione di un Arbitro unico, nominato di comune accordo tra le parti, oppure, in caso di disaccordo, dal Presidente della Camera di Commercio Industria e Artigianato di Milano. L’Arbitrato avrà sede e svolgimento in Milano, e sarà irrituale. L’Arbitro formerà la propria determinazione secondo equità e nel rispetto del principio del contraddittorio entro il termine massimo di giorni 120 (centoventi). Le parti si impegnano a dare immediata e puntuale attuazione alla decisione dell’Arbitro che è riconosciuto sin d’ora quale espressione della loro volontà contrattuale.  ENGTERMS & CONDITIONS OF THE CALL AUGMENTED LIVING LAB 1. PremiseWelcome to the innovation portal AUGMENTED LIVING LAB (hereinafter the "Site"), owned by PricewaterhouseCoopers Business Services, with registered office in Piazza Tre Torri 2, Milano - 20145, Italia (hereinafter the "Company"). This document containing the terms and conditions of use (hereinafter the "Terms") is applicable to the innovation initiative "Call Augmented Living Lab" (hereinafter the "Initiative" or the "Call") launched in collaboration with Designtech S.R.L. Società Benefit (hereinafter the "Organizer") by the Company for its own purposes and/or those of its customers and, therefore, to each proposal (hereinafter the "Contribution"), made on the Site, by third parties, whether freelancers and practices, companies, industrial partners, startups and scale-ups, innovative SMEs (hereinafter the "User"). The Terms are subject to the jurisdiction of the Italian State, regardless of the State of origin of the User who proposes any Contribution. The Company reserves the right to change the following Terms at any time at its discretion and you must formally accept them whenever you participate in the Initiative and whenever the following Terms change. 1.1 Who organizes Designtech S.R.L. Società Benefit, with registered office in Via Cristina Belgioioso 171, Milano - 20157, P. IVA 12415810964, in the person of its legal representative Patrizia Vavassori, is the promoter and organizer of the Call.1.2 Theme and Objective The Call aims to select innovative technologies with the goal to redesign the Living Lab concept, together with innovators and startups, and develop PoC (Proof of Concept) / Prototypes with the support of leading industry Partners.1.3 When The Call will open on the 3rd of March 2023 and it will close on the 31st of May 2023. 1.4 Where The Call will take place online on the innovation portal https://www.innovationopencall.it/CallAugmentedLivingLab (hereinafter the "Site") owned by the Company. 1.5 Who it is addressed to Designer & Architecture and Engineering Studies operating in the industry that are specialized and/or keen on the proposed area of innovation. Startups and scaleup with high technological content interested in boosting innovation in the design and construction sector. Innovative SMEs small or medium-sized enterprises with innovative solutions and technologies prepared to meet the challenges of the Call and share their solutions. Companies and Industrial partners producing prefabs, materials and applicable technologies in the construction, furniture, architecture, engineering, real estate and interior design sectors. Anyone belonging to one of the above categories can register for the Call within the established time frame. 1.6 Cost, registration and penalty Anyone belonging to one of the above categories (see paragraph 1.5) can register on the site within the established time frame. There are no restrictions in terms of number of participants. The registration is free of charge. Participants once registered may withdraw until the 31sr of May 2023. 1.7 How to carry out the Call Registration to the Call can be carried out individually or as a group. No intervention or interference from external parties is tolerated. This is a non-competitive call, therefore no winner will be selected, although several solutions may be selected among those proposed by professionals and practices, start-ups and scale-ups, innovative SMEs, companies and partners may be selected. 1.7.1 Conditions of access to the Site by the User Anyone can freely access and browse the Site. The User who intends to participate in the Initiative and, therefore, propose any Contribution is required to register on the Site. Access codes and passwords are confidential, personal and non-transferable. The User is responsible for the management, custody and consequences of their use. The Company cannot in any circumstance be considered responsible for any fraudulent use of the same access data.   1.7.2 Conditions of use The User who intends to participate in the Initiative by proposing any Contribution must accept the following conditions of use: 1.if the User proposes a Contribution on behalf of a legal entity he declares to be a legal representative and / or an authorized person; 2.the User also declares to be of legal age and / or legal capacity according to the law of the country of residence; 3.the User may not, for any reason, intentionally or unintentionally violate any local, national or international law, regulation or standard when submitting the Contribution; 4.the User who participates with his Contribution, regardless of its nature, undertakes not to incorporate inappropriate content, including, for example: ●racism, bullying or cruelty towards men and animals; ●politics and political symbols, campaigns or movements; ●religious references including symbols, buildings or people; ●sex, nudity, drugs or smoking; ●swearing; ●killings, terrorism, horror or tortures; 5.the User undertakes to read and respect any further regulations of the Initiative for which he is proposing his contribution, accessible on the page of the Site dedicated to the Initiative; 6.the User declares that the information pertaining to the proposed Contribution, whether textual and / or documentary, does not violate any obligation of confidentiality towards third parties and is therefore to be considered public information, not confidential;7.the User may not transmit or facilitate the transmission of any Contribution that violates any patent, trademark, trade secret or other intellectual property rights of any third party;8.at the time of proposing any Contribution by the User, no contractual obligation or working relationship is established between the Company and the User;9.the Company is not obliged to provide feedback to the User with reference to the proposed Contribution. In case of interest from the Company, it shall provide feedback to the User, in the absence of temporal and substantial constraints;10.the Company is entitled to contact the User, using the references he has declared when registering on the Site, whenever he intends to request further information on the proposed Contribution. These interactions and additional information collected by the Company are to be considered nonconfidential. If the Company and the User intend to discuss confidential information, they may decide to sign confidentiality agreements specifically declined according to the needs of the parties involved;11.the Company is not required to return any data, information, materials and documentation published by the User, even in the event of the deletion of the related profile on the Site;12.the Contribution proposed by the User will be accessible to the Company, to any third parties for which the Initiative has been instantiated on the intermediary of the Company itself, and to other subjects indicated in the Privacy Statement, possibly accepted during registration. The Contribution is in any case to be intended as not viewable by other Users participating in the same Initiative;13.the Contribution proposed on the Site and the related information entered by the User, together with additions / evaluations of the Company, may be shared with third parties also for commercial purposes of the Company.1.8 Removal from the Call Participants will be eliminated in case of: •off-topic projects at the discretion of the jury;•false generalities;•projects that do not respect the copyright or intellectual or industrial property rights of others.To this end, each participant: •expressly declares that the project has been created for the Call, is original and does not violate in any way, either in whole or in part, the copyright and intellectual or industrial property rights of third parties, and hereby indemnifies Designtech S.R.L. Società Benefit for any infringement arising from participation to the Call;•in the case of group projects recognizes that the project does not belong to an individual but to the team presenting it, and that each participant is responsible for any violation of third party rights through the submitted project and towards Designtech S.R.L. Società Benefit for any actions of recourse of the aforementioned third parties against them caused by the submitted project.Designtech S.R.L. Società Benefit is committed to making the environment inclusive and safe for all participants and reserves the right to remove anyone who, among those involved, behaves inappropriately. 1.9 Jury and Awards The jury appointed by the Organizer will select at its sole discretion the participants' contributions to be eligible for collaborations with the sponsoring companies of the call aimed, where possible, for inclusion in the CoFactory spaces of the Designtech Hub. 
1.10 Material and intellectual property rights on contributions Each participant is responsible for the content of their project and guarantees that they are the owner of the project and that they have all the original rights to use it. In relation to the proposed Contribution, the User accepts the following conditions: 1.the User must give details of any protection of the proposed Contribution, whether total or partial;2.for the protection of the Contribution, the User must provide and rely independently on adequate protections and legal protections of the Contribution through patents, trademarks, copyright and registrations with the competent authorities;3.the Contribution proposed by the User, if not protected by intellectual property, could be developed independently by the Company and / or by third parties for which the Initiative has been instantiated, without infringing the User's rights;4.any additional information sent by the User to the Company may in any case be protected by subsequent confidentiality agreements to be signed between the parties;5.the User is aware that the acquisition of intellectual property rights, previous to proposing the Contribution, is essential to avoid commercial exploitation by third parties, including the Company itself or the Organizer.Designtech S.R.L. Società Benefit and/or third parties for whom the Initiative has been instantiated reserve the right to use all the material produced by the participants of the Call, even materially in the form of a prototype, under the terms of these regulations and always in compliance with the Code of Ethics signed by all participants. 1.11 Promotional rights The Call, the way it is carried out, the official communications, these terms and conditions and the information relating to the processing of personal data are made public and published by the Company and the Organizer on the Website, on the portal https://www.innovationopencall.it/CallAugmentedLivingLab  and on their own social channels, and those of partners and sponsors of the call. Designtech S.R.L. Società Benefit reserves the right to use the material produced during the call, accompanied by information on participants, for promotional purposes and participants specifically accept this right of use. 1.12 Personal data and image rights The User acknowledges to have received the information on the use (processing) of personal data by the Company at the time of registration to the Site and has given specific consent to such processing. The personal data collected for the purposes of the Call will be processed, as necessary for the implementation and proper conduct of the Call, in full compliance with the EU Regulation 679/2016 and the current legislation on the protection of personal data. The data will be processed through the use of manual and digital tools by the Company and Designtech S.R.L. Società Benefit (Data Controller). The participant, pursuant to art. 15 and following the EU Reg. n.679/2016, may request the modification, integration and/or cancellation of data or oppose their use by writing to info@thedesign.tech. The Call will be advertised and photos and videos of the Call may be taken and published on the Call website and on its official social channels. 1.13 Exclusion of D.P.R. 26/10/01 no. 430 The initiative in question does not fall into the category of "prize competitions" or "prize transactions" as per the Presidential Decree no. 430 of 26/10/01 (Regulations for competitions and prize transactions), art. 6 (Exclusions): "The competitions held for the production of literary, artistic and scientific works in which the awarding of a prize to the author of the chosen work has the nature of consideration for the performance of the work or represents recognition of personal merit or a title of encouragement in the interest of the community are not considered prize competitions and prize transactions". 1.14 Disputes Any dispute arising in relation to these regulations and the event shall be referred to the decision of a single Arbitrator, appointed by mutual agreement between the parties, or, in case of disagreement, by the President of the Chamber of Commerce of Milan. The Arbitration will be based and conducted in Milan. The Arbitrator shall make his determination according to fairness and in compliance with the principle of the adversarial procedure within a maximum period of 120 (one hundred and twenty) days. The parties undertake to immediately and punctually implement the Arbitrator's decision, which is recognized as an expression of their contractual will.
